Our client, an established financial services firm, is seeking an experienced Document Negotiator for a 4-month consulting assignment supporting their Office of General Counsel. This individual will work closely with BBH attorneys and client service teams supporting major investment managers and institutional investors. The primary responsibility will be preparing, reviewing, and negotiating account control agreements and amendments, along with various instruction and representation letters.
The ideal candidate will have 2+ years of relevant experience in transactional law, corporate contracts, mutual funds, banking, or financial services. A law degree is preferred, but experienced non-lawyers with strong contract drafting and negotiation experience will also be considered. Experience with derivatives, ISDA agreements, or account control agreements is highly desirable.
Responsibilities Include:
Preparing, reviewing, and negotiating account control agreements and amendments
Drafting and negotiating instruction letters, representation letters, side letters, and other financial services documentation
Assisting BBH attorneys with client onboarding and maintenance for mutual fund and financial services clients
Coordinating legal documentation between multiple parties and ensuring adherence to time-sensitive deadlines
Tracking the status of legal documentation and maintaining records, matrices, and files
Interacting with internal and external clients throughout the documentation and negotiation process
Collaborating with BBH’s Credit, Risk, and Compliance departments on contract reviews and special projects
Supporting additional legal and documentation projects as needed
Requirements:
2+ years of relevant experience in transactional, corporate, contracts, mutual funds, banking, or financial services
Law degree preferred, but experienced non-lawyers with relevant experience will be considered
Strong contract drafting and negotiation skills
Experience with derivatives, ISDA agreements, or account control agreements highly desirable
Law firm, custodian bank, mutual fund, or in-house legal department experience preferred
Strong understanding of financial services documentation and contracts
Excellent communication and customer service skills with the ability to work effectively with internal and external stakeholders
Strong organizational skills and ability to manage multiple time-sensitive projects
Proficiency with Microsoft Office
Knowledge of the Uniform Commercial Code and Investment Company Act of 1940 preferred
Ability to step into a consulting assignment and contribute with minimal training
Pay Rate: $48-55 per hour
