Our client, a leading global Am Law firm, is seeking two experienced Contract Attorneys to support its Corporate – Global Business Transformation practice. This is a six-month consulting engagement with the potential to convert to a permanent position for the right candidate.

The ideal candidate will have 3+ years of sophisticated corporate transactional and M&A experience, preferably gained within a highly regarded M&A practice. The attorneys will support corporate transactions and broader global business transformation initiatives where legal, transactional, and business considerations intersect.

Responsibilities include:

  • Advise and support attorneys on sophisticated corporate transactions and M&A matters.
  • Assist with mergers, acquisitions, divestitures, and related transactional matters.
  • Support legal due diligence processes.
  • Draft, review, and analyze commercial agreements and other transactional documentation.
  • Assist with corporate governance matters.
  • Support global business transformation initiatives.
  • Advise on legal considerations associated with operating model changes.
  • Assist with spin-offs, integrations, and other significant corporate transformations.
  • Work closely with attorneys and business stakeholders on complex transactional matters.
Requirements:
  • JD from an accredited law school.
  • 3+ years of corporate transactional/M&A experience.
  • Must be licensed to practice law in the state where the candidate resides.
  • Experience from a highly regarded M&A/corporate law firm strongly preferred.
  • Strong M&A and corporate transactional background.
  • Corporate governance experience.
  • Commercial contracting experience.
  • Legal due diligence experience.
  • Understanding of legal and business considerations surrounding major corporate transformations.
  • Experience with integrations, spin-offs, or operating model changes is highly desirable.
  • Consistent employment history with minimal job movement strongly preferred.
  • Ability to work onsite three days per week in Austin, Houston, or Chicago.
  • Strong written and verbal communication skills.
  • Ability to work effectively in a sophisticated, fast-paced Am Law environment.
